Terms of Service

1. Introduction

Welcome to Relato Labs, Inc., operating the Roval brand and referred to herein as "Roval" ("we", "us", or "our"), a corporation organized and operating under the laws of the State of Delaware.

We provide a software platform and related services (collectively, the "Service") designed for business use, offering AI agent governance, compliance automation, risk classification, and monitoring capabilities. These Terms of Service ("Terms" or "Agreement") govern your access to and use of our Service. By accessing or using the Service, you ("you" or "User") agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

The Service is intended for use by businesses and organizations including freelancers ("Business Users") registered and operating legally. By agreeing to these Terms, you represent and warrant that you are duly authorized to bind your entity to these Terms and that your entity is legally registered in your jurisdiction.

3. Registration and account security

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Roval reserves the right to suspend or terminate accounts that are suspected of being inaccurate or incomplete.

You are responsible for safeguarding your account password and for any activities or actions under your account. Roval cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

4. Use of the Service

Roval grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service strictly in accordance with these Terms. You agree not to use the Service for any purpose that is illegal or prohibited by these Terms.

5. Intellectual property rights

All intellectual property rights in the Service and its original content, features, and functionality are and will remain the exclusive property of Roval and its licensors. The Service is protected by copyright, trademark, and other laws. Your use of the Service does not grant you any rights to use or reference in any manner Roval's company names, logos, product and service names, trademarks, or service marks unless expressly agreed upon by Roval.

6. User conduct

You agree not to use the Service to:

• Transmit any content that is unlawful, offensive, harmful, or otherwise objectionable.
• Engage in any activity that disrupts or interferes with the Service.
• Violate the intellectual property rights of others.
• Attempt to gain unauthorized access to the Service or its related systems or networks.

7. Payment terms

7.1 Fees and charges

You agree to pay the fees and charges for the Service as set forth in the pricing schedule provided to you at the time of your selection of the Service or as otherwise agreed in writing between you and Relato Labs, Inc. ("Roval"). All fees are non-refundable, except as expressly stated in these Terms or as required by applicable law.

7.2 Billing and payment

Fees for the Service will be billed on a subscription basis, payable in advance, and are due on the billing date indicated in your account or as otherwise specified in the agreement between you and Roval. You are responsible for providing complete and accurate billing and contact information and for updating us on any changes to such information.

If we do not receive payment by the due date, we may, at our discretion, suspend or terminate your access to the Service until payment is received.

7.3 Taxes

Except as otherwise stated in the agreement between you and Roval, you are responsible for all taxes associated with the Services, excluding taxes based on Roval's net income. If Roval has the legal obligation to pay or collect taxes for which you are responsible under this section, the appropriate amount shall be invoiced to and paid by you, unless you provide Roval with a valid tax exemption certificate authorized by the appropriate taxing authority.

7.4 Price changes

Roval reserves the right to adjust pricing for the Service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms, any price changes to your service will take effect following email notice to you.

8. Cancellation and renewal

Your subscription to the Service will automatically renew at the end of each billing cycle unless you cancel it at least 3 days before the end of the current period. It is your responsibility to ensure that your subscription is canceled in time if you no longer wish to use the Service. Cancellation requests submitted after this period may not result in immediate cancellation and may incur additional charges.

9. Privacy policy

Your use of the Service is also governed by our Privacy Policy, which outlines our practices concerning the collection, use, and disclosure of your information. Please review the Privacy Policy carefully.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

11. Governing law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
